Welcome to ParroByte CRM ("we", "our", "us", or the "Platform"). By accessing or using our services, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the Platform.
1. Definitions
- "User" — Any individual or entity registered on the Platform.
- "WhatsApp Session" — A connected WhatsApp account via QR code scan.
- "Credits" — Virtual currency used to pay for services on the Platform.
- "Content" — Messages, media, templates, contacts, and any data uploaded by Users.
2. Acceptance of Terms
By registering an account, connecting a WhatsApp session, or using any feature, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. You agree to comply with all applicable laws and regulations.
3. WhatsApp & Third-Party Compliance
- You must comply with WhatsApp Terms of Service and Meta Platform Policies at all times.
- You may NOT use the Platform for spam, bulk unsolicited messaging, or any activity that violates WhatsApp's anti-spam policies.
- You are solely responsible for the content sent through your connected WhatsApp sessions.
- We reserve the right to suspend accounts found violating third-party terms.
4. Anti-Spam & Rate Limits
- The Platform enforces a maximum of 30 messages per minute per WhatsApp session.
- Bulk messaging includes configurable gaps (default 45 seconds) between messages.
- Users must obtain proper consent from recipients before sending marketing messages.
- Abuse of the messaging system may result in account suspension without refund.
5. Credits & Payments
- Credits are purchased via Razorpay and are non-refundable except where required by law.
- Each service consumes credits as listed on the Billing page. Prices are in Indian Rupees (INR).
- Free quotas reset monthly (calendar month) and do not roll over.
- Credits have no expiry date unless otherwise stated.
6. Account Security
- You are responsible for maintaining the confidentiality of your login credentials.
- The Platform enforces single-login: logging in from a new device invalidates previous sessions.
- API keys must be kept secure. You are responsible for all activity under your API keys.
- Report unauthorized access immediately to support.
7. Data & Privacy
Your use of the Platform is also governed by our Privacy Policy. We store your data securely and do not sell it to third parties. You retain ownership of your content.
8. Prohibited Activities
- Using the Platform for illegal, fraudulent, or harmful purposes.
- Attempting to bypass rate limits, security controls, or credit checks.
- Reverse engineering, scraping, or interfering with the Platform's infrastructure.
- Uploading malware, viruses, or malicious content.
- Impersonating others or misrepresenting your identity.
9. Service Availability
We strive for 99% uptime but do not guarantee uninterrupted service. Maintenance windows, third-party outages (WhatsApp, Facebook, Instagram, YouTube), or force majeure events may affect availability. No compensation is owed for downtime unless explicitly agreed in writing.
10. AI Assistant
- AI-generated responses are provided "as is" without warranties of accuracy.
- You are responsible for reviewing AI responses before they reach your customers.
- AI replies consume credits per the Billing page pricing.
11. Termination
We may suspend or terminate your account immediately for violations of these Terms. You may delete your account at any time by contacting support. Upon termination, your data will be retained for 30 days then permanently deleted.
12. Limitation of Liability
To the maximum extent permitted by law, ParroByte CRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to WhatsApp account bans, lost profits, or data loss.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email or dashboard announcement. Continued use after changes constitutes acceptance.
14. Governing Law
These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.
